By interacting with our Site and using our services, you agree to this Partner Business Policy. Capitalized terms that are not defined in this Partner Business Policy have the meaning given to them in our Terms of Use.
If you do not agree with the terms of this Partner Business Policy, please do not access the Website or use any of our services or products.
At Local Threads, we take intellectual property rights very seriously. We comply with intellectual property laws and industry best practices in order to maintain the integrity of our Site and services.
We reserve the right to disable any listing, online storefront or account that we believe violates our Terms of Use and any intellectual property rights. We also reserve the right to take action against abusers of this policy or our Terms of Use.
Local Threads does not offer legal advice or make legal determinations regarding your intellectual property, or whether your content or submission infringes someone else’s intellectual property. We will remove material cited for alleged intellectual property infringement when provided with written notice that complies with our policies.
Representations and Warranties of Intellectual Property.
By uploading, transferring and/or otherwise submitting your content – including (without limitation) any logo, name, tradename, mark, wording, phrase, quotes, designs, picture and/or other content (“Store Content”) – to Local Threads, you represent that (a) you are the owner of the Store Content, or the Store Content is licensed by you in a manner sufficient for you to submit the Store Content to us, (b) you have all necessary rights to all parts of the Store Content, (c) you are not infringing or violating any third party’s rights by submitting your Store Content to Local Threads, and (d) the information you submit to Local Threads is accurate, complete and not misleading.
Indemnification.
You agree to defend, indemnify and hold harmless Local Threads and its members, managers, partners, heirs, assigns, affiliates, representatives, officers, directors, employees and agents, from and against any and all third party claims, and all liabilities, damages, losses or expenses arising out of or relating to such claims, including reasonable attorneys’ fees and costs, arising out of or in any way connected with (a) your breach of any of our Terms and Partner Business Policy, (b) your Store Content, and any related information or materials you submit to Local Threads, (c) any intellectual property submitted by you to Local Threads, and/or (d) your access to or use of the Site, the Storefront and/or our services.
No Liability.
No warranty or guarantee of a result is expressed or implied with any information or services in or through our Site or Content, nor do we make any representations regarding the use or the results for your Storefront. In no event shall Local Threads be liable for any loss, injury or damage whatsoever which may arise from your use of our Site or Content, your Storefront, your Store Content and products with your Store Content.
Reports of Intellectual Property Infringement.
When Local Threads removes or disables access to your Storefront or Store Content in response to a report, we make a reasonable attempt to contact you and provide information about the report and removal. You will be solely responsible for submitting any response to Local Threads and/or any other notice to the appropriate authorities or agencies for any infringement report that may have been filed against you.
To submit a report of alleged infringement against any Local Threads listing, you can contact legal@localthreads.co. Local Threads may request additional information before processing a report, such as a letter of authorization from the rights owner, identity verification of the reporting party, or other documentation regarding the claimed right. Local Threads may reject reports of infringement that contain information we believe is false, fraudulent, incomplete, or otherwise submitted in bad faith. We also reserve the right to take action against abusers of this policy.
Payments.
Local Threads will submit payments to your pursuant to your Storefront Agreement with Local Threads. We will inform you of each transaction, or other information pertaining to any payments. We will communicate with you and provide payments based on the information you provide to Local Threads. If any of your information changes at any time, it is solely your responsibility to timely notify Local Threads of such changes. We will not be responsible for any missed or delayed payments or communications as a result of inaccurate information.
Our Relationship.
Nothing herein creates any agency, partnership, joint venture, employment, or franchisee relationship between you and Local Threads.
Other Website Rules and Policies.
All other policies, rules or agreements set forth or referenced on our Site, or delivered directly to you or your account (including, without limitation, the Terms of Use, Storefront Agreement, Privacy Policy, etc.), are binding on you and apply to your use of the Site and our services, and your violation thereof shall be deemed a breach of this Partner Business Policy as well.
Changes to the Partner Business Policy.
We may change this Partner Business Policy from time to time. The most recent version of this Policy will always be posted on the Site, with the “Effective Date” listed on the page. We may revise and update this Policy if our practices change, as technology changes, or as we add new services or change existing ones. You are responsible for ensuring you have read the effective Partner Business Policy on the Site. By using our Site and/or services, you are deemed to consent to our then-current privacy policy. We will use information previously obtained in accordance with the Partner Business Policy in effect when the information was obtained from you.
